These General Terms and Conditions (hereinafter "GTC") govern all contracts between MMC Consulting GmbH (hereinafter "Seller") and its customers (hereinafter "Customer").
1. Preamble
MMC Consulting GmbH sells coffee and accessories for coffee preparation through its online shop at www.sqr.coffee. The following GTC govern the contractual relationship between the Seller and the Customer and form the basis of every order.
2. Scope of Application
2.1. These GTC apply to all contracts between the Seller and users of the website. By using the online shop, in particular by clicking the acceptance button, the Customer accepts these GTC.
2.2. Deviating or conflicting terms and conditions of the Customer shall only apply if expressly confirmed in writing by the Seller.
2.3. The Seller reserves the right to amend these GTC at any time. The current version is available on the website.
2.4. Use of the online shop is permitted only for legally competent, adult, natural persons. The Customer guarantees to provide their true identity and accurate data. The Seller reserves the right to reject orders or block customer accounts if false information is provided or misuse is suspected.
2.5. The Seller makes every effort to ensure uninterrupted access to the online shop but does not guarantee permanent availability or freedom from errors. Maintenance work or technical issues may lead to temporary restrictions.
3. Conclusion of Contract
3.1. The presentation of products in the online shop does not constitute a legally binding offer but an invitation for the Customer to submit an offer.
3.2. By clicking the order button, the Customer submits a binding offer to purchase the items in the shopping cart. The contract is concluded when the Seller accepts the order by sending an order confirmation or delivering the goods.
3.3. The Seller reserves the right to reject orders without providing reasons.
4. Prices and Payment Terms
4.1. All prices are stated in Euro and include statutory VAT, where applicable. For deliveries abroad, different tax rules may apply (e.g. tax-free exports to third countries). Shipping costs are charged separately and displayed during the ordering process.
4.2. The Customer may choose from the payment methods offered. The Seller reserves the right to exclude certain payment methods.
4.3. Invoices must be paid within 7 days of receipt. After expiry of this payment period, the Customer is automatically in default without further notice and owes statutory default interest.
4.4. For reminders issued after the occurrence of payment default, graduated reminder fees shall apply in accordance with Clause 9 of these GTC. The Seller also reserves the right to charge additional collection fees as well as to take legal action to recover outstanding claims.
5. Delivery and Shipping
5.1. Delivery is made to the address provided by the Customer. The Customer is responsible for ensuring the accuracy of the address details.
5.2. The Seller is entitled to make partial deliveries. Shipping costs may vary depending on the destination country.
5.3. If delivery fails due to incorrect address details or the Customer’s absence, the Customer shall bear the resulting additional costs.
5.4. The Customer is obliged to report obvious transport damage immediately to the carrier and to notify the Seller without delay. Failure to do so may affect the assertion of claims.
6. Right of Withdrawal and Returns
6.1. Consumers have a statutory right of withdrawal of 14 days. The period begins upon receipt of the goods.
6.2. To exercise the right of withdrawal, the Customer must declare the withdrawal in writing and return the goods within 14 days. The Customer bears the costs of return shipping. The transport risk of the return shipment is borne by the Seller.
6.3. The right of withdrawal does not apply to:
- Goods not suitable for return for reasons of health protection or hygiene (e.g. opened coffee products),
- Custom-made products produced according to the Customer’s specifications,
- Goods with a short shelf life or that are perishable.
6.4. If goods are returned by the Customer in a condition not equivalent to new, the Seller reserves the right to claim compensation for loss of value.
7. Retention of Title
7.1. Goods remain the property of the Seller until full payment has been received.
7.2. Resale, pledging, or any encumbrance of the goods is not permitted until full payment.
8. Warranty and Liability
8.1. The statutory warranty period is 24 months for consumers and 12 months for business customers.
8.2. Obvious defects must be reported in writing within 7 days of receipt of the goods.
8.3. The Seller is liable only for intent and gross negligence. Liability for indirect damages or loss of profit is excluded.
9. Reminders, Default, and Debt Collection
9.1. Payments are due within 14 days after receipt of the invoice. In the event of default, the Customer must pay statutory default interest.
9.2. A flat fee of €5 will be charged for the first reminder. For a second reminder, the fee is €25. For a third reminder, the fee is €50. Further claims for damages remain unaffected.
9.3. The Seller reserves the right to take further legal steps in case of payment default to recover outstanding debts.
10. Final Provisions
10.1. Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers residing outside Austria, mandatory consumer protection laws of their country of residence apply if they are more favorable than these GTC.
10.2. The place of jurisdiction for all disputes arising from this contract is the registered office of the Seller, provided the Customer is not a consumer.
10.3. Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
